Terms of service

Navicosoft’s term and conditions govern your usage of our website as well as the provided services. By accessing our services and website, you agree to restrict yourself to follow the right set of conditions given. The terms of service are an agreement between you (“user” or “you” or “you”) and Navicosoft Pty Ltd. If you do not agree to accept our terms and conditions, you will not be able to use the services.

Use of Services

Navicosoft offers a wide set of IT solutions and services including web hosting, domain registration, VPS, dedicated servers, digital marketing, SEO and others. By accepting our terms and conditions, you agree to use the services for lawful purposes under the given conditions and in accordance to the terms.

Account Registration

To access our portal and use our services, you will be needed to create an account. Therefore you agree to provide the right information that is full and complete during the registration process. You are solely responsible for the confidentiality and maintenance of account information as well as all the activities under that account.

By registering at our website you agree that you agree to use the services by yourself or you are intended to use the service at the behalf of the registered user. In any case, the sensitive data will not be shared except you have the access to registered user.

Eligibility

You are solely responsible for filling up the registration forms with the accurate details only. It may include your email address for communication as well as other details for domain registration. We will not be responsible for any lapse or any kind of ambiguity later and we will not entertain any sensitive information retrieval other than the registered email address. If at any point you wish to change the contact details, you can contact our support team and they will update it for you. However providing false information or performing any fraudulent activities may result in the services termination.

Violations and Restrictions

By accepting our TOS, you agree not to violate the following:

Any agreed law, regulations or third party rights.

Any illegal harmful or fraudulent activities engagement should not be done through our website or services.

Uploading any kind of defamatory content including pictures that are offensive and harmful to others are strictly prohibited.

Responsible Service Usage

Customers are responsible for efficient use of services within the allocated resources only. Excessive use of services can halt the normal functioning of the servers for other customers as well. Therefore if we see any such activity being done from an account, we have the right to suspend it so it does not disturb other customers.

You are responsible to manage the backups and the security of your account. We are not responsible to hold the backup of dedicated accounts including VPS and Dedicated servers. However if you wish to avail this service, it comes as a separate service. Similarly the security of your account is solely your responsibility. If you want us to manage the security, then we can offer you multiple options for this as well. Unless you don’t have any subscription of website security or backups, you are solely responsible to manage the backups and the website security.

Reseller Responsibilities

  • Shared account are fully restricted to be used as reseller account neither do they can be provided the privileges. Customer must have to have a reseller account if he wishes to become Navicosoft’s reseller.
  • Resellers are responsible to manage their customers and any fraudulent activities happening within the accounts. The company will hold reseller responsible, for the terms violation if applied.
  • We reserve the right to revise the policy anytime without prior notice. Further, the company is not responsible for any kind of omissions of the resellers.
  • Resellers hold all the responsibility for technical support and billing services for their customers.

Intellectual Property Rights

Navicosoft owns all the content, logos, trademarks as well as the services and all of the mentioned things are protected by copyright. You agree that you do not acquire any ownership rights while using our products and services. Additionally, you cannot reproduce, distribute or create copies from the relevant materials without obtaining written consent and permission from Navicosoft.

Payment Terms

Prepayment

While purchasing services from Navicosoft, you agree to pay the applicable service fee and charges. Payment terms differ from service to service. Some services have monthly payment options while others have annual payment plans. All the service charges are subject to change and the amount may vary. The service charges and fees are non-refundable unless stated or mentioned in the agreement before.

Automatic deduction

Unless you cancel or ask us to cancel the services on your behalf, you will be billed however we are not obligated to bill you. Therefore the payment will be deducted from your active subscriptions in any.

Credit Balance

If you wish for automatic payment, you can add credit balance into your account. We will keep renewing the services from credit balance until available and the services will keep running without disruption.

Tax Deduction

The listed charges do not include taxes. Therefore the applicable taxes will be added into your invoice automatically during the invoice generation.

Late Payments

An outstanding invoice may result in service suspensions and terminations as well. We will not be liable to restore your access to your account until the payment is cleared. After a certain time period, we hold the right to even cancel your services due to end of billing, without any prior notice.

Fraud & Invoice Disputes

We have the right to hold you accountable in case we see any fraudulent activity from your credit or debit card during the payment process. We can report such activities to government or law enforcement authorities, credit reporting services or financial institutions if applicable.

Verification

For your security, we hold the right to ask for your credit card or PayPal account verification. We may ask you to share your details to verify before the order is activated.

Price Change

Navicosoft holds the right to change the prices with a notice of 30 days. Therefore it is your responsibility to review the billing section periodically.

Server Shifting and Data Handling

We reserve the right to shift our servers to improve performance, enhance security, or for any other operational purposes deemed necessary. In the event of a server migration, we will notify our customers in advance and provide a reasonable timeframe to review and check their data on the new server. Please note that once the specified review period has expired, the previous servers will be terminated, and any data stored on those servers will no longer be recoverable. It is the customer’s responsibility to ensure that all important data is backed up within the provided time frame.

Navicosoft Domain Registration Terms of Engagement

At Navicosoft, we offer reliable domain registration and management services to help businesses establish a strong online identity. We partner with accredited domain registrars to register and manage domain names on behalf of our clients, ensuring smooth handling and renewal of your digital asset.

Our domain registration services include:

  • Domain name search and availability check
  • Registration of new domains (.com, .net, .org, country-specific TLDs, and more)
  • Domain renewal and transfer services
  • DNS management and configuration
  • Domain privacy protection (if requested)
  • Assistance with domain recovery and ownership disputes (subject to registrar policies)

Domain Ownership

  • All domains registered through Navicosoft on behalf of a client are the property of the client (provided the domain is paid for in full).
  • The client’s name, organization, and contact information will be listed as the legal registrant unless otherwise specified.
  • Navicosoft may be listed as the technical or administrative contact to manage renewals and DNS configuration.

Domain Availability and Registration Limitations

  • Domain registration is subject to availability at the time of request. We cannot guarantee the availability of any specific domain until it is successfully registered.
  • Domain names are registered on a first-come, first-served basis, and delays in confirmation or payment may result in losing the desired domain.
  • Some domain extensions (e.g., country-specific TLDs) may require additional documentation or local presence for registration, which the client must provide.

Client Responsibilities

To complete a domain registration, the client is required to:

  • Provide accurate and complete contact details for WHOIS records.
  • Confirm domain selection and make payment promptly to avoid loss of availability.
  • Ensure renewal instructions are communicated in advance to avoid domain expiration.
  • Respond to verification emails sent by the domain registrar, where applicable.

Failure to provide timely responses or accurate information may result in failed registration or domain suspension.

Billing and Renewal

  • Domain registration is typically billed annually, though multi-year options may be available.
  • Renewal notices will be sent before the domain’s expiry date. However, it is the client’s responsibility to ensure timely renewal, especially if automatic billing is not enabled.
  • Failure to renew may result in domain expiration, after which the domain may enter a grace period, redemption period, or be made available to the public again.
  • Late renewal during grace or redemption periods may incur additional fees.

Domain Transfers

  • Clients may request a transfer of domain ownership or registrar at any time, subject to the domain registrar’s policies and transfer eligibility (e.g., domain must be 60+ days old).
  • Navicosoft will provide the EPP code and remove any registrar locks once all dues are cleared.
  • Domain transfers may take 5–7 business days and require action from the domain registrant via email confirmation.

Privacy Protection & WHOIS

  • For eligible domains, WHOIS Privacy Protection (Domain Privacy) can be enabled to shield registrant information from public view.
  • This is an optional, chargeable add-on service, depending on the domain extension and registrar.

Limitations and Disclaimers

  • Navicosoft cannot guarantee domain security, availability, or uninterrupted service due to factors outside our control, including registrar downtime or regulatory restrictions.
  • We are not liable for domain loss due to:
    • Failure to renew on time
    • Inaccurate registrant details
    • Registrar policy changes or suspension
  • Domain registration is governed by the terms and conditions of the respective accredited domain registrar.

Termination and Refund Policy

  • Once a domain is registered, it is non-refundable, even if the client changes their mind or decides not to use it.
  • Domain cancellation can only occur at the end of the registration period unless otherwise arranged in writing.

Digital Marketing & SEO Services

At Navicosoft, we are committed to delivering high-quality digital marketing and SEO services designed to improve our clients’ online visibility, brand engagement, and lead generation. Our strategies are rooted in industry best practices and are continually adapted in response to the evolving digital landscape, including updates to search engine algorithms, consumer behavior trends, and platform guidelines.

Scope of Services

Our digital marketing services may include, but are not limited to:

  • Search Engine Optimization (SEO) (on-page, off-page, technical SEO)
  • Pay-Per-Click (PPC) advertising
  • Social media marketing
  • Content creation and marketing
  • Email marketing
  • Conversion Rate Optimization (CRO)
  • Website audit and analytics reporting

Each service is tailored to meet the unique goals of the client and based on the latest methodologies and data-driven insights.

While Navicosoft employs proven methods and tools to maximize campaign performance, clients should understand that:

  • Search Engine Optimization (SEO) (on-page, off-page, technical SEO)
  • Digital marketing outcomes are inherently influenced by third-party algorithms (e.g., Google, Facebook, Instagram).
  • Search engine rankings, traffic volumes, and sales performance are subject to fluctuations beyond our control.
  • Therefore, we do not guarantee specific results, such as first-page rankings on Google, a certain number of leads, or a specific ROI. Our commitment is to deliver the best possible results within the scope of the agreed strategy and budget.

Client Responsibilities

The success of any digital marketing campaign depends on timely and collaborative efforts between Navicosoft and the client. To ensure the smooth execution of campaigns, clients are expected to:

  • Provide timely feedback, approvals, and decisions.
  • Share accurate and up-to-date access credentials (e.g., website admin, hosting, social media, Google Analytics, ad accounts).
  • Supply necessary brand assets and content resources (e.g., logos, product information, imagery).
  • Notify us in advance about any website changes, rebranding, or product/service updates.

Delays or lack of cooperation may impact the effectiveness of campaigns and timelines.

Billing and Payment Terms

  • Our services are prepaid, typically on a monthly or quarterly basis, depending on the agreed contract.
  • Custom packages or larger-scale campaigns may require an upfront setup fee or extended billing cycles.
  • Invoices are due in advance, and continued service is contingent upon timely payments.

Early Termination and Refund Policy

  • In the event of early contract termination by the client, any work already completed or in progress will be billed accordingly, and the client may still be liable for partial or full charges.
  • Due to the nature of digital services (time and resource investment), refunds are generally not offered once the campaign has commenced, unless otherwise stated in the agreement.

Reporting and Transparency

  • Clients receive regular performance reports (typically monthly) outlining key metrics, campaign progress, and actionable insights.
  • We maintain full transparency in our methods and maintain an open line of communication for ongoing updates, strategy reviews, and optimizations.

Confidentiality and Data Privacy

All client data, account credentials, and marketing materials are handled with strict confidentiality. We comply with all applicable data protection regulations and ensure the security of your information.

Website Design & Development

We provide professional website design and development services tailored to meet each client’s specific business goals, brand identity, and functional requirements. Our team is committed to delivering modern, responsive, and user-friendly websites using industry-standard technologies and development practices.

Our website development services may include, but are not limited to:

  • Custom website design and UI/UX development
  • Front-end and back-end development
  • CMS integration (e.g., WordPress, Shopify, Magento)
  • E-commerce functionality
  • Mobile responsiveness
  • Website migration and hosting setup
  • Basic SEO setup (on request)
  • Security configurations and performance optimization

The exact scope of work is defined in the project proposal or agreement document and may vary based on client requirements.

Project Timeline and Milestones

  • Timelines are established based on the complexity of the project, the scope of work, and client responsiveness.
  • A detailed project timeline with milestones will be shared at the beginning of the project.
  • Delays in feedback, content provision, or approvals from the client may extend the delivery timeline.

Client Responsibilities

To ensure timely and successful project delivery, clients are expected to:

  • Provide all necessary content, logos, images, and branding guidelines in a timely manner.
  • Share access to existing hosting platforms, domain registrars, and third-party tools, if applicable.
  • Review and approve design drafts, prototypes, and development stages within agreed timeframes.
  • Appoint a single point of contact for streamlined communication and decision-making.

Failure to meet these responsibilities may result in project delays or additional costs.

Revisions and Change Requests

  • Navicosoft typically includes a predefined number of revision rounds (e.g., 2–3) during the design and development phases.
  • Revisions must fall within the original project scope. Any requests for features or content outside the agreed scope will be treated as change requests and may incur additional charges.
  • A formal Change Request Process will be initiated for any out-of-scope work, including timeline and cost adjustments.5Billing and Payment Terms
  • Website development projects are generally billed in milestones or phases, such as:
    • Initial deposit (typically 30–50%) before project commencement
    • Mid-project milestone payment
    • Final payment upon completion and before website handover
  • All payments are to be made based on the agreed schedule, and delays in payment may halt the project.

Testing, Deployment, and Handover

  • Upon completion, the website will be thoroughly tested for functionality, responsiveness, cross-browser compatibility, and basic SEO readiness.
  • Once approved and fully paid, the website will be deployed to the client’s server or hosting environment.
  • Handover includes credentials, user manuals (if applicable), and a basic training session (upon request).

Post-Launch Support and Maintenance

  • Navicosoft offers limited post-launch support (usually 15–30 days) to address any bugs or minor adjustments.
  • Ongoing website maintenance, updates, backups, and security monitoring are available through separate maintenance packages.

Intellectual Property Rights

  • Upon full payment, the client will own the rights to the final website design, codebase, and content (excluding any third-party tools or plugins used under license).
  • Navicosoft reserves the right to showcase the completed project in its portfolio or case studies unless otherwise requested in writing.

Limitations and Disclaimers

  • While Navicosoft ensures best practices in performance and security, we cannot be held liable for:
    • Third-party plugin vulnerabilities
    • Client-side content errors
    • Hosting/server-related issues beyond our control
  • It is the client’s responsibility to ensure compliance with legal requirements such as GDPR, cookie consent, and privacy policies, unless specifically included in the project scope.

Clients are responsible for reviewing project deliverables, campaign results, and service usage in a timely manner. Any delay in communication or provision of required materials may impact delivery timelines or campaign effectiveness. Additionally, third-party costs associated with advertising, licensing, or premium tools are not included in standard service packages and will be invoiced separately unless otherwise stated.

Server Management

Navicosoft provides semi-managed VPS and dedicated server services. By default, our responsibility is limited to offering root access and performing operating system reinstallation upon request. Full server management, including software configuration, updates, monitoring, security hardening, or ongoing technical support, is not included unless purchased as a separate service. Clients are expected to have the technical knowledge required to manage their server environments or to seek external assistance as needed. Navicosoft is not liable for any data loss, misconfigurations, performance issues, or security vulnerabilities on semi-managed servers. If a client requires full server management, this must be arranged under a separate service plan with clearly defined scope and responsibilities.

Licensing

Navicosoft may provide software licenses, plugins, tools, or third-party applications as part of its service offerings. All such licenses are granted strictly in accordance with the original vendor’s terms and are valid only for the duration and purpose agreed upon in the service contract. Clients are not permitted to modify, distribute, sublicense, or share these licensed materials without prior written consent. Unauthorized use or reproduction of licensed content may result in immediate termination of services and potential legal consequences. Clients are responsible for complying with all applicable software license terms, and Navicosoft shall not be held liable for any misuse or violation of third-party licensing agreements by the client. If any software license requires renewal or upgrade during the service period, associated costs will be billed separately unless otherwise specified.

Logo Design Services

Navicosoft offers custom logo design services as part of its creative and branding solutions. All logo design projects are subject to a separate agreement or proposal outlining the scope, number of initial concepts, revisions, delivery timelines, and pricing. Clients are responsible for providing clear requirements and preferences at the start of the project. The final approved logo design will be delivered in standard formats such as JPEG, PNG, and vector files where applicable. Upon full payment, the client receives usage rights to the final logo design; however, Navicosoft retains the right to showcase the work in its portfolio unless otherwise agreed in writing. Any unused concepts, drafts, or rejected designs remain the intellectual property of Navicosoft. Requests for revisions beyond the agreed number may incur additional charges.

Dedicated Servers & VPS:

Our Dedicated Server Hosting services provide clients with high-performance, fully customizable server environments tailored to meet demanding business needs. With complete root access, enterprise-grade hardware, and robust security protocols, dedicated servers ensure maximum control, reliability, and scalability for hosting resource-intensive applications, websites, or databases. All servers are hosted in secure, state-of-the-art data centers with 24/7 monitoring, DDoS protection, and technical support. While we manage the server’s infrastructure and offer optional server management plans, clients are responsible for managing their hosted applications and ensuring regular data backups unless otherwise specified in the service agreement.

Data Modification and Deletion Requests

For security and verification purposes, Navicosoft will only honor requests for account modifications, data deletions, or service cancellations if they are submitted through the registered email address associated with the client’s account. Any requests made through alternative or unverified communication channels will not be processed. Clients are solely responsible for managing their data, including website files, email accounts, databases, and other content. Navicosoft will not be held liable for any accidental or intentional data deletions performed by the client or third parties with access to the account. In the case of self-managed or semi-managed services, clients must handle deletions at their own end and ensure proper backups are in place. Unless explicitly stated in the service agreement, Navicosoft does not offer data removal, recovery, or cleanup services as part of its standard offerings.

Privacy Protection

We respect your privacy and all of your data is fully protected and secured. You can further refer to the privacy policy to know how we collect and use the data.

Account Termination

We have the right to suspend and terminate your account if we see any sensitive activities happening under that account, engagement in illegal activities or in case of TOS violation. We also have the authority to suspend and terminate your account upon the incomplete or late invoice payments. You can also get your account terminated by writing an email through your registered email address.

Technology Limitations

We are not responsible for any error or issues that occur at your website. Similarly any issue can arise anytime at the server’s end as well however we try our best that we keep the services streamlined. However in case if there is any downtime at the server, we are not responsible  since we do not guarantee error free and uninterrupted services since it is the nature of technology to have glitches time to time.

Changes in Mentioned Terms

We have the right to modify the mentioned terms and conditions anytime without prior notice. The changes updated on this page will be labelled as “last updated”. Therefore we encourage you to review the terms periodically to stay updated on any recent updated.

PayPal Disputes and Chargebacks

If a client opens a PayPal case or initiates a chargeback without first contacting our support team to resolve the issue, Navicosoft reserves the right to immediately suspend or terminate the associated services. Clients are encouraged to reach out to our billing or support department for any service-related concerns before taking action via PayPal. Repeated or unjustified PayPal disputes may lead to permanent account termination and refusal of future services. We also reserve the right to report such cases to relevant authorities or platforms.

Repeated or unjustified chargebacks may lead to the refusal of future services and could result in legal action to recover any outstanding amounts. Clients are responsible for ensuring the accuracy of their payment details and for taking necessary precautions to avoid unauthorized transactions. Navicosoft reserves the right to report fraudulent chargebacks to relevant financial institutions, credit bureaus, or law enforcement authorities if necessary.

Unauthorized Transactions – PayPal & Debit/Credit Cards

If a client files a claim or dispute for an unauthorized transaction through PayPal or their debit/credit card provider without contacting Navicosoft for resolution first, we reserve the right to immediately suspend or terminate the associated services. Filing false or baseless claims is considered a direct violation of our Terms of Service and may result in permanent account closure. Clients are solely responsible for the security of their payment methods, and Navicosoft will not be held liable for unauthorized access due to user negligence. All such claims will be thoroughly investigated, and if found to be fraudulent or in violation of our policies, we reserve the right to report the matter to PayPal, financial institutions, credit bureaus, or legal authorities as necessary.

Refund Requests & Billing Communication

Navicosoft does not process refunds for services that are already active, live, or have been provisioned, including but not limited to VPS, dedicated servers, and other IT infrastructure. Once a service is activated and running, it is considered fully delivered, and no refunds will be applicable unless there is an exception.

Additionally, services that are irreversible in nature, such as domain name registrations, transfers, or renewals, are strictly non-refundable under any circumstances. These services cannot be canceled or reverted once completed.

Clients are advised to carefully review the service details and ensure compatibility before placing an order. Refund requests submitted for live or active services will be automatically declined unless there is a proven fault or failure to deliver the service on our end.

All refund-related queries, service cancellations, billing disputes, or account changes must be submitted through the registered email address associated with your Navicosoft account. For security and verification purposes, we will not process requests sent from unverified or third-party email addresses.

Liability and Limitations

Under no circumstances, the company, its director or any employee as well as the agents will be responsible or liable to you or any other third party for any indirect, consequential, incidental or any other kind of damage. Similarly we will not be liable for any loss of profit or the lost data that may occur while using our services or our website. The company and the customers are independent contractors and after singing this terms and conditions, the user will not have the authority to make any contracts or agreements at the company’s behalf.
